Summary:
This position is looking for a Commercial Real Estate Attorney for a minimum of 18-month contract in the western Chicago suburbs. Most important skills are the negotiation and review of lease agreements, titles and surveys as it pertains to the acquisition and renovation of corporate locations.

Responsibilities:
• This person will be expected to provide advice and counsel to regional and department management and other clients on commercial real estate matters relating to existing leases and leased locations within the United States.
• This work includes negotiation of new ground leases, amendments to existing leases, exercises of lease options, exercises of rights of first refusal and purchase options, and negotiation of purchase contracts.
• Other areas of responsibility include, among other things: assessing legal risks and opportunities within the area of real estate law and advising clients accordingly, and construction issues related to rebuilding existing locations.
• Provide analysis and counsel on real estate legal and environmental issues.
• Anticipate and guard against legal risks facing the company.
• Reviewing commercial real estate files, and documents to determine restrictions which would impact company’s ability to remodel existing locations.
• Review title, surveys, site plans, draft easements agreements, third party agreements, non-disturbance agreements and modifications to Covenants, Conditions and Restrictions of record, supervise commercial closings, review work of paralegals, interact with clients, perform legal research, and handle multiple transactions.

Requirements:
• Applicants should have 3-5 years of legal experience in a law firm or corporate environment.
• Prior experience should include substantial drafting experience, including confidentiality agreements, supplier agreements, and vendor agreements.
• An ability to craft more complex documentation is also required.
• Applicants must be capable of working independently in drafting and contract negotiation.
• The preferred applicants will be extremely well organized, efficient, timely, and hard working. Applicants must be self-motivated and able to handle many matters simultaneously.

Title Director of Risk Management

Summary of Duties:

Reporting directly to the Senior Director, Litigation & Risk Management, manages a comprehensive risk management program, including supervision of all Metra and PSA claims, and all casualty and property related insurance purchases. Has oversight for the marketing and placement of all risk related insurance coverages, including the placement of multiple high-limit coverages domestically and in Bermuda/Europe. Ensures protection of corporate assets from accidental loss, including compliance with all Medicare/CMS guidelines regarding reimbursement of conditional payments and funding of future set-asides. Serves as Metra’s Fund Advisor to the RTA Loss Financing Plan and provides direction to the RTA regarding the purchase of high-limit casualty insurance for all service boards. Monitors Metra litigation, and approves settlements within authority limits as defined by ordinance. Directs, monitors and attends claims and investigation activities at accident scenes. Performs other related duties as needed to meet the ongoing needs of the organization.

Minimum Acceptable Qualifications:

• Bachelor’s Degree in Insurance, Risk Management, Safety, Business Administration or similar field required OR in lieu of degree, one year of substantive direct commercial property and commercial casualty insurance experience may be substituted for each year of lacking relevant college-related course work up to four (4) years.
• Must have significant claims and commercial insurance experience OR substantive experience as a litigation attorney with personal injury and casualty insurance experience.
• Must possess demonstrated experience in the following insurance areas: commercial casualty, commercial property, railroad protective liability, employment practices liability, directors and officers liability, fiduciary liability, crime, pollution liability, and special events.
• Must possess knowledge of Medicare Secondary Payer laws/regulations, including reimbursements and set-aside funding.
• ARM and/or CPCU certifications preferred.
• Excellent analytical, oral and written communications skills are essential.
• Proficiency in Microsoft Office Suites preferred.
• Supervisory experience required.
• Must possess and maintain a valid driver’s license.
• Must be able to work in a demanding environment.
